1. Legal Entity & Parent Company Structure

GermanGenie ("GermanGenie", "Service", or "Product") is a software product, application, and digital brand wholly owned, developed, and operated by Charis Partners LLC ("Charis Partners LLC", "Charis Partners", "Company", "we", "us", or "our").

Just as Alphabet Inc. serves as the parent company to Google, Charis Partners LLC serves as the parent company and legal entity under which GermanGenie is governed, licensed, and operated. All commercial transactions, legal rights, intellectual property ownership, and liability obligations pertaining to GermanGenie reside with Charis Partners LLC.

2. Acceptance of Terms

By accessing, downloading, registering for, or using the GermanGenie website or mobile application, you agree to enter into a legally binding agreement with Charis Partners LLC governed by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

3. Permitted Use & Account Registration

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use GermanGenie for personal, non-commercial language learning purposes. You agree not to:

  • Reverse-engineer, decompile, or disassemble any part of the Service or its underlying AI models.
  • Use automated scrapers, bots, or data mining tools to extract content from the Service.
  • Upload malicious code, bypass access controls, or compromise Charis Partners LLC infrastructure.
  • Share account credentials or resell access to third parties.
  • Use AI conversation features to generate harmful, fraudulent, offensive, or illegal content.

4. Subscriptions, In-App Purchases & Billing

GermanGenie is offered under free and paid subscription models (GermanGenie Premium). All subscription billing, processing, and account entitlements are managed by Charis Partners LLC through official mobile application platforms, including the Apple App Store and Google Play Store.

Billing terms, recurring subscription renewals, and cancellation procedures adhere strictly to the policies of the respective app stores and Charis Partners LLC. You may manage or cancel your subscription at any time via your device settings.

5. Intellectual Property Rights

All materials within the Service — including but not limited to the GermanGenie brand, logo, trademark, software code, UI design tokens, curriculum materials, AI prompts, graphics, and domain names — are the sole and exclusive intellectual property of Charis Partners LLC. Unauthorized use, reproduction, or distribution without prior written consent from Charis Partners LLC is strictly prohibited.

6. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Charis Partners LLC does not warrant that the Service will be uninterrupted, error-free, or that AI-assisted content will be 100% accurate.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Charis Partners LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of GermanGenie.

8. Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to GermanGenie shall be governed by and construed in accordance with the laws of the jurisdiction in which Charis Partners LLC is incorporated, without giving effect to any conflict of law principles.

9. Changes to Terms

Charis Partners LLC reserves the right to modify these Terms at any time. Material changes will be communicated by updating the date at the top of this page or via direct in-app notification.
